Course description

The course aims to provide a comprehensive knowledge of business law and companies’ law including the study of business organizations, their relations to the market and contracts.

Prerequisites

Before sitting for this exam you should have passed Civil Law examination first. CFU: 14

THE ENTREPRENEUR: Entrepreneur definition; the sole proprietor; what does enterprise mean?; the collaborators of the entrepreneur; business organizations; competition in business; registration of corporate deeds in the Companies Register; consortiums and other types of business integration; TYPES OF BUSINESS ORGANIZATION: partnerships; companies; groups; company winding up and liquidation; cooperative societies; trasformation, mergers and demergers; BANKS AND SECURITIES MARKET: instruments of investment; SECURITIES MARKETS: introduction; recourse to public savings; investment institutions and their services; institutional investors; stock markets; regulations; CONTRACTS: trading and transacting; contracts for the trade or distribution of goods; contracts for the execution of works or the provision of services; contracts for the promotion of business; SECURITIES: definition of security; bills of exchange; BANKRUPTCY PROCEEDINGS: types of bankruptcy proceedings; composition with creditors; tax issues when going bankrupt.
