The aim of the course is to provide knowledge about the causes that determine the state of corporate crisis and possible solutions.
The course will pass through the analysis of the following topics: the business crisis and the company reorganization; the causes of the crisis; the characters and types of corporate crisis; the various approaches to the crisis; prevention, diagnosis and management of the business crisis; budget analysis, scoring models, the crisis in groups of companies; judicial and extrajudicial solutions to manage crises; the typical models and tools for formulating and implementing company reorganization paths.
Knowledge and ability to understand
The course aims to provide knowledge about causes that determine corporate crisis and possible solutions, favoring the understanding of methods and tools for the management of corporate crises in the judicial and extrajudicial paths, and for the company reorganization. Knowledge and understanding are achieved and tested by carrying out lectures and presenting business cases.
Ability to apply knowledge and understanding
The knowledge that the course aims to impart and the ability to understand the phenomenon of the business crisis is fundamental for the lawyer who supports management in the analysis, in the management of complexity and in the solution of technical-legal issues related to prevention, diagnosis and crisis management. The means of verifying these skills to apply knowledge and understanding consists in conducting case studies.
Autonomy of judgment
At the end of the course, the student will be able to identify the imbalances and the pathological states of business that determine the crisis; She/he will be able to apply the instruments aimed at the government and the rehabilitation of states of crisis. All this in the light of the regulatory framework. The autonomy of judgment is developed and tested through the study of business cases.
At the end of the course, the student will be able to interpret the "business crisis" phenomenon to communicate information, ideas, problems and solutions to their interlocutors; Communication skills are developed through exercises and through the presentation and discussion in the classroom of business cases. The verification of the acquisition of communication skills takes place through the assessment of the student's expository and argumentative ability, of its communicative effectiveness, of the terminological correctness during the exam.
At the end of the course, the student will have acquired learning skills that will be necessary to undertake further studies with a high degree of autonomy. Learning skills are achieved and tested in the context of lectures, through practical exercises and evaluated through the examination.
The course will deal with the issues of business crisis and reorganization, the classification in economic and legal disciplines, the internal and external causes of the business crisis; the characters and types of corporate crisis; the various approaches to the crisis; the tools for the prevention, diagnosis and management of the business crisis; financial statement analysis, scoring models, the crisis in groups of companies; the ways in which companies can effectively manage corporate crises, both judicial and extra-judicial; the typical models and tools for formulating and implementing company reorganization paths.
The course will deal, in a first part, with the issues of the financial distress of firm, its classification in the economic and legal disciplines, the themes of economic and financial performance of firm; in a second part, it will focus on the logics and tools for the prevention, diagnosis and management of the business crisis, as well as the turnaround and company reorganization.
The course content can be broken down into several lesson blocks, the duration of which depends on the level of preparation of the students and their familiarity with the basic concepts. The course will be organized as follows:
I block (12 hours): the business crisis and the reorganization in the economic and legal disciplines; the causes of the business crisis; the characters and types of corporate crisis; the various approaches to the crisis.
II block (12 hours): prevention, diagnosis and management of the business crisis; the ways in which companies can effectively manage corporate crises, both judicial and extra-judicial; the typical models and tools for formulating and implementing company reorganization paths.

Student’s Knowledge is verified through an oral exam. The student reaches the 18/30 vote when he show that he has gained sufficient knowledge of the subjects studied during the course. In order to achieve a score of 30/30, the student must demonstrate that he has acquired a Excellent knowledge of all the topics discussed during the course.
