Course description

The objectives for this course are:
• To help students to develop a deeper understanding of Corporate governance.
• To provide students an understanding of why corporate governance is relevant to achieve a competitive advantage.
• To underscore the main theories addressing the relation between governance and strategy.
• To recognize key actors of corporate governance.
• To learn a variety of concepts and frameworks concerning cross-national differences among institutional settings.
• To provide access to tools that students can use in their future careers of managers.

Syllabus

This course teaches students an understanding of the role of key actors of corporate governance from existing literature and cross-national analysis. This course also explores corporate governance through a series of cases of companies. Among the topics covered are:
• What corporate governance is.
• Manin theoretical frameworks.
• The role of owners, directors and managers in different national settings.
• The design of governance structure.
• The relation between governance and strategy.
