Course description

Expected learning outcomes:
A) learning the legal arrangements of Italian business law and their interrelations;
B) becoming aware of productivity and cost-effectiveness mechanisms and market strategies;
C) gaining a clear understanding of business and corporate law.
On completing the course of study the student will achieve:
knowledge and understanding of business and corporate law arrangements as well as business contracts and loss making company rules and regulations including financial markets;
- awareness of the interrelations between business law and the socio-economic organization.
Application skills
- capacity to apply legal sources to business law questions and issues so as to express an opinion and take steps.
To that end traditional classes but also a multimedia teaching approach will be adopted including seminars. The study of the books will be matched to the analysis of codes, court decisions and legal practice documents.
Said skills are especially useful for those students who wish to become lawyers, notary or judges but also for those who intend to work as business legal consultants or economic institution.
The assessment of this learning outcome will be carried out at the end of the course mainly through individual oral examinations.
Independent thinking
- capacity to expand knowledge acquired and gradually acquire a higher ability to discriminate and make decisions.
This objective will be assessed during classes and seminars by discussing cases.
Communicative skills
- capacity to communicate orally and in writing clearly and effectively also with legal experts and business people.
This objective will be assessed during classes and seminars by requesting oral contributions.
Learning ability
- capacity to understand and critically assess business law theoretical questions and practice; select and study business law doctrine and case law.
To this end authentic documents from the doctrine or case law will be discussed during the lesson.

BUSINESS LAW COURSE PRESENTATION AND GENERAL INTRODUCTION: BUSINESS ORGANIZATIONS: Introduction ; the sole entrepreneur; The entrepreneur; private-funded vs public-funded business organizations; the entrepreneur statute; Company Registers and disclosure requirement;
books and records; the entepreneurs’ collaborators; the business organization; competitors; groups and other forms of business association; incompetents and business organization; agreement on the transfer of equity interests between family members.. Traditional teacher lessons supported by teaching multimedia materials and integrated by specialistic seminars.

The study of the items will be supported by reading the Italian Civil Code with the latest amendments.

Learning assessment

1. One oral examination at the end of the course
2. Aim: the exam is aimed at checking knowledge and competences gained by the students especially in terms of critical and logical thinking and the ability to apply thoughtful reflection .

7. Assessment: to obtain a minimum grade the acquisition of basic knowledge of business law institutions and principles is required . To obtain maximum grades Dublin descriptors parameters must have been complied in full.
