Course description

The aim of the course is to provide students knowledge about logics, methods and tools on corporate governance of maritime companies, as well as the main dimensions and mechanisms for a sustainable governance to adopt for these companies.
In order to develop the ability on applied understanding, the course provides an empirical approach on the theoretical topics thanks to the quantitative analysis on the business management.
The course aims to develop the student's ability to collect and interpret the information deriving from the corporate governance of liner shipping companies; to formulate independent judgments on company and intra-company processes and performances; to develop those learning skills useful for undertaking subsequent studies with a high degree of autonomy; to evaluate the criticality of the aforementioned management liner processes.
The course will provided a link between the theoretical background and the empirical issues of different business of maritime industry, thanks also to prestigious managers which will carry out some seminars.
These managers will illustrate the business management of their companies, especially the issues developed during the course.


Business administration


The syllabus is focused on following topics:
Module 1 - The maritime industry; the maritime business company; the traffics nature; the sectors of the maritime industry; liner shipping companies; the organization chart of the liner companies; ownership structure and management; ownership and control; the risk system of liner companies; the ship and itinerary risk; the economic issues of ship business; the levers about ownership structure, financial performance and sustainable performance; governance and control mechanisms.
Module 2
The information system of maritime companies; managerial accounting to analysis the ship and line combinations performance; Budget, final balance, analysis of deviations in the ship and itinerary mix, using excel sheets; reporting for top managers; reporting for operative managers; breakeven analysis using excel sheet; information systems into private-public relationships by ship-port interface; summary about regulatory framework on financial and non-financial reporting (IMO, MLC, European Directives); non-financial disclosure of maritime (cruise and container) shipping companies to meet Sustainable Development Goals (SDGs). Waste management and Management Control Systems in the governance of maritime companies, especially in the ship-port interface. Key performance indicators for the development of environmental sustainability and energy efficiency. Balanced Scorecard, KPIs and reporting. Value measurement, ownership structure and management in the cruise segment (e.g. cruise companies, cruise concessionaire, public authorities, local government).
Module 3 - Application profiles, including seminars, of levers of corporate governance, performance and non-financial disclosure by cruise companies, cabotage and container shipping companies.

The course is structured into three modules.
Module 1 (3 cfu) provides a conceptual framework about maritime companies, especially as concerns the institutional structure, decision-making processes and corporate governance mechanisms.
Module 2 (3 cfu) provides methods and tools for the conscious governance of liner companies. Mainly, as concerns the corporate governance models of maritime companies and the implications on financial performance, information management systems in public private interrelationships; budgeting, control and reporting of ship and itinerary mix; analysis of non-financial disclosure (environmental and sustainability reporting) to meet Sustainable Development Goals (SDGs).
Module 3 (3 cfu) aims to provide the methods of empirical application of the analysis tools about corporate governance, "corporate social and environmental responsibility" and performance by liner companies (cruise companies, cabotage companies, containers shipping companies).

The course includes classroom-taught lesson, exercises, research projects, seminars.

Learning assessment

The final test is based on research project on a topic selected during the course and a colloquium about the issues including in the syllabus.
In order to obtain a positive result, the student.
To pass the exam, the student must score a minimum of 18/30.
The student reaches the 18/30 vote, when he demonstrates that he has gained sufficient knowledge of the topics being discussed in the course. To achieve a score of 30/30 and praise, the student has to demonstrate that he has gained an excellent knowledge of all the topics dealt with during the course.
