Course description

The course is finalized to examine legal rules at the basis of a business activity, carried out in the European and/or in the international context.
All the discipline is treated with constant reference to practical examples and jurisprudence, also considering the evolution of international markets.

European and international intellectual property (IP) law and main related contracts - Rules at the basis of main advertising contracts and their clauses' analysis - Data protection regulations in Europe, United States and China (and other selected Countries) - Corporate governance systems (in Europe and around the world). The "societas europaea" - Bankruptcy law in its different dimensions, by the analysis of the European Insolvency Regulation (EIR/R-EIR) and the UNCITRAL Model Law on Cross-Border Insolvency - The international contract - Antitrust law - Analysis of directive (EU) 2019/1023 on preventive restructuring frameworks, on discharge of debt and disqualifications, and on measures to increase the efficiency of procedures concerning restructuring, insolvency and discharge of debt - International ADR.

The course is divided into several teaching units:
- Unit I: European and international intellectual property (IP) law and main related contracts
- Unit II: rules at the basis of main advertising contracts and their clauses' analysis
- Unit III: Data protection regulations in Europe, United States and China (and other selected Countries)
- Unit IV: corporate governance systems (in Europe and around the world). The "societas europaea"
- Unit V: bankruptcy law in its different dimensions, by the analysis of the European Insolvency Regulation (EIR/R-EIR) and the UNCITRAL Model Law on Cross-Border Insolvency

The course continues with the following specific focus:
- the international contract;
- antitrust law;
- analysis of directive (EU) 2019/1023 on preventive restructuring frameworks, on discharge of debt and disqualifications, and on measures to increase the efficiency of procedures concerning restructuring, insolvency and discharge of debt;
- international ADR.

Teaching Methods

The course is provided in blended mode, being organized in frontal lessons (in presence and/or at a distance).

Students are invited to base their preparation on teaching material provided by the Professor.

Learning assessment

During the course, a midterm exam is expected, in form of written test (questions with multiple answers). At the end of the course, an oral exam is also expected.
